EVENT SPONSOR TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) govern the relationship between brdcrmbz.io, LLC (“Organizer”) and the sponsoring party (“Sponsor”) for any event hosted or co-hosted (“Event”). In the event of any conflict or inconsistency between these general Terms and Conditions and the specific terms and conditions issued for a particular event, the event-specific terms and conditions shall govern and prevail with respect to that event. By confirming sponsorship, Sponsor agrees to the following terms:

1. Sponsorship Benefits

1.1 The Organizer will provide sponsorship benefits as outlined in the Sponsorship Package agreed upon with the Sponsor.
 1.2 Benefits may include but are not limited to: logo placement, booth or exhibit space, recognition in marketing materials, speaking opportunities, or complimentary tickets, as specified in the package.

2. Payment Terms

2.1 Sponsorship fees must be paid in full upon sign up to participation as an event sponsor.
 2.2 Late payments or a voided payment transaction of any kind may result in forfeiture of sponsorship rights without refund of previous fees paid.

3. Sponsor Obligations

3.1 Sponsor must provide logos, artwork, promotional content, and any other required materials by 14 calendar days prior to the Event.
 3.2 Sponsor represents and warrants that all materials provided are accurate, lawful, and do not infringe upon the rights of third parties.
 3.3 Sponsor agrees to comply with all Event rules, venue regulations, and applicable laws.

4. Intellectual Property

4.1 The Organizer retains all rights to event branding, trademarks, and materials.
 4.2 Sponsor grants the Organizer a non-exclusive, royalty-free license to use Sponsor’s name, logo, and marks for promotional purposes related to the Event.

5. Cancellation & Refunds

5.1 If the Sponsor cancels participation less than 10 days prior to the Event, no refunds will be provided.
 5.2 If the Event is canceled by the Organizer for reasons within its control, all sponsorship fees will be refunded.
 5.3 If the Event is canceled or postponed due to force majeure (e.g., natural disasters, pandemics, strikes), the Organizer shall not be liable, and sponsorship benefits may be transferred to a rescheduled event.

6. Liability & Indemnification

6.1 The Organizer will not be responsible for any loss, damage, or injury sustained by the Sponsor, its employees, contractors, or property during the Event.
 6.2 Sponsor agrees to indemnify and hold harmless the Organizer, its officers, staff, and agents from any claims, liabilities, damages, or expenses arising from Sponsor’s participation.

7. Exclusivity

7.1 Unless expressly agreed in writing, sponsorship is non-exclusive.
 7.2 The Organizer reserves the right to accept multiple sponsors within the same industry.

8. Event Changes

8.1 The Organizer reserves the right to make changes to the Event schedule, format, speakers, or venue.
 8.2 Any changes will be communicated promptly to the Sponsor.

9. Governing Law

9.1 This Agreement shall be governed by and construed under the laws of the Commonwealth of Pennsylvania.
 9.2 Any disputes shall be resolved in the Pennsylvania Court of Common Pleas.

10. Entire Agreement

This Agreement constitutes the full understanding between the parties and supersedes all prior discussions or representations. No modification shall be valid unless in writing and signed by both parties.
